Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Subvey ("Subvey," "we," "us," or "our") governing your access to and use of the Subvey mobile application, website, and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service (16 in the European Economic Area, or the minimum age of digital consent in your jurisdiction if higher). By using the Service you represent that you meet this requirement and have the legal authority to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date. You must notify us immediately at support@subvey.com of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.
3. License to use the Service
Subject to your compliance with these Terms, Subvey grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes. All rights not expressly granted are reserved.
4. User content
4.1 Your content, your responsibility
The Service allows you to submit content including questions, options, images, audio, text, and other materials ("User Content"). You retain ownership of your User Content. You are solely responsible for your User Content and the consequences of submitting it.
4.2 License you grant to Subvey
By submitting User Content, you grant Subvey a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for formatting), create derivative works of (e.g., thumbnails), display, distribute, and otherwise use your User Content solely to operate, provide, promote, and improve the Service. This license continues for as long as reasonably necessary to provide the Service and for our legitimate business purposes.
4.3 Representations about User Content
You represent and warrant that:
- You own or have all rights necessary to submit the User Content and grant the license above;
- Your User Content does not infringe or violate any third party's intellectual property, privacy, publicity, contract, or other rights;
- You have obtained all consents required from any person depicted or identified in the User Content;
- Your User Content complies with these Terms and all applicable laws.
5. Acceptable use
You agree not to, and not to allow others to:
- Use the Service for any illegal, fraudulent, harmful, or deceptive purpose;
- Submit content that is unlawful, defamatory, obscene, pornographic, harassing, hateful, violent, or discriminatory;
- Infringe the intellectual property, privacy, publicity, or other rights of any person;
- Send spam, phishing, malware, or other unsolicited communications;
- Collect personal information about other users without their consent;
- Attempt to gain unauthorized access to accounts, systems, or networks, or probe or test vulnerabilities;
- Interfere with, overload, or disrupt the Service or its infrastructure;
- Use automated means (bots, scrapers, crawlers) to access the Service except as expressly permitted;
- Reverse engineer, decompile, or otherwise attempt to derive source code, except to the extent the law permits;
- Resell, sublicense, rent, or lease the Service without our prior written consent;
- Manipulate voting, stuff ballots, or artificially inflate or deflate results;
- Impersonate any person or misrepresent your affiliation.
We may remove content, suspend, or terminate accounts that violate these rules, at our sole discretion and without prior notice.
6. Intellectual property
The Service, including its software, design, graphics, logos, and the "Subvey" name, are owned by Subvey and protected by intellectual property laws. Except for the limited license granted above, these Terms do not transfer any ownership or rights to you.
7. Feedback
If you send us feedback, ideas, or suggestions about the Service, we may use them for any purpose without compensation or attribution to you. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate your feedback.
8. Fees and paid features
The Service currently offers a free tier. We may introduce paid features in the future. If you purchase a paid feature, additional terms presented at checkout will apply. Taxes are your responsibility. All fees are non-refundable except as required by law.
9. Termination
You may stop using the Service and delete your account at any time via Delete Account. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, present a risk to other users or the Service, or if required by law. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnity, and governing law) will survive.
10. Third-party services
The Service may integrate with third-party services (e.g., Google, Apple, Twilio, Supabase). We do not control those services and are not responsible for them. Your use of third-party services is subject to their own terms.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SUBVEY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SUBVEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SUBVEY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify, defend, and hold harmless Subvey and its officers, directors, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
14. Governing law and dispute resolution
These Terms are governed by the laws of the jurisdiction in which Subvey is established, without regard to conflict-of-laws principles. The parties agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively in the competent courts of that jurisdiction, and you consent to personal jurisdiction and venue there.
Informal resolution. Before filing any claim, you agree to contact us at legal@subvey.com and attempt in good faith to resolve the dispute for at least 30 days.
No class actions. To the extent permitted by law, you agree that any dispute will be brought only in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
15. Apple App Store additional terms
If you access the Service through an iOS application obtained from Apple's App Store: (a) these Terms are between you and Subvey only, not with Apple; (b) Apple is not responsible for the Service or its content; (c) in the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); (d) Apple is not responsible for addressing any claims by you or any third party relating to the app; (e) Apple is a third-party beneficiary of these Terms and may enforce them against you.
16. Changes to the Service and Terms
We may modify or discontinue the Service (or any part of it) at any time. We may also update these Terms. If we make material changes we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Miscellaneous
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Subvey regarding the Service.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- No agency. Nothing in these Terms creates any agency, partnership, or joint venture between you and Subvey.
